Coversion of paid up capital into demat

We are a private limited ompany with paid up share capital of Rs. 1 Lac. We are now planning to convert the abve paid up capital into DEMAT form. We are also in the process of issuing Non Convertible Debentures against the loan raised to finance our project.
I would like to know the detailed procedure to be followed to give effect to above transactions.
Also would like to know whether issue of above NCDs shall be incorporated into AOA of company by way of amendment of AOA or it can be done without insertion to AOA?
It would be a great help if anyone can help me on above.

fill necessary forms ,alongwith physical share cerificates and fees to either CDSL or NSDL
w.r.t.NSD, no need to amend AOA, however if investor wants then incorporate ncd terms in aoa
