whether sale of land of company by a director authorised to negotiate for dealings for sale and settle the bank loan.

Is this activity is ultra vires and what is the consequence of this transaction on buyer, who has purchased and paid the consideration to company in good faith.

When the director is authorised to do such act and he acted accordingly then how can you are saying that "this activity is ultra vires".

If the Director had been duly authorised by the proposal passed in meeting of companies board of directors,then the action of director in such regard can not be declared as ultre vires.
