Signing by director

I want to get the signature on boad resolution dtd 15 / 06.2012 to be file in court on a matter related to property litigation. But this Director does not to sign the resolution stating that his form no. 32 is filed on 15.06/2012 with the roc though his appointment date is 01/06/2012. He says that it is technically wrong. The defenaant can challenge it .
I guess his logical is incorrec. please advise

There is no wrong. Appointment and filing form no. 32 is alright. So, defendant can't succeed on challenge of appointment and filing.

The Form 32 is for information of ROC about appointment of director. The date of appointment is 01.06.2012 and it is normal to sign the resolution unless there are some issues/facts hidden before this forum. Alternately in case he does not budge you can make the resolution dated 16.06.2012
