why private placement came into existence???

A public Company or a Private Company may issue shares through private placement.
Private placement is different from Public Offering.
In the private placement, for the purpose of raising capital for the company, securities are sold to a relatively small number of select investors such as banks, mutual funds, insurance companies and pension funds.
As private placement is offered only to a few, in many cases, detailed financial information is not disclosed and as the need for a prospectus is waived. Finally, since the placements are private rather than public, the average investor is only made aware of the placement after it has occurred.

Dear Author,There are lot of difference in Issuance of Private Placements Between Private Ltd and Public Ltd companies.There are also features like Buy Back etc.Better and for your good Confirm with a Company Secretary Please.

The querist is very clear. Wants to know only about 'Private Placement' which is one of a method for raising capital for the Company.
In the current query, the author is not at all interested in knowing about Buy Back, which is a method for reduction of Capital of a Company.
The querist is also not interested, at this point of time, in various compliances etc., required. Just only want to know why there is provision for private placement. That's all.

Please and better go to library.Private Placement is Nothing but a source of Raising Funds by Limited Companies both Private and Public As well.And really lot of things interesting are there in Private Placements.

who & why plans the private placement in a company?
who & how implements the plan?
what documents have to be made & make available to the Board?
i have many more Q ? in my mind but problem is that from where should i get practically answer?

Dear Shamsul,
The Board of Directors would decide whether any fresh activity has to be undertaken by the Company; or the existing business is to be expanded in a big way; and whether they need additional capital or not to pursue the same.
Once they decide, they themselves also decide whether they should raise the additional capital by means of Private Placement or through Public Offer.
Once such a policy decision is taken by the Board, then based on the Board Resolution, the Managing Director / CEO /CFO of the company will take appropriate action.
One more thing - you seem to be concentrating and focusing on private placement. Are you aware what documents are being submitted to the Board and who takes action for IPO etc. If so, the same documents will be required to be made available to the Board and the same persons will take action for private placement also.
