Hello,
Our Company wants to replace an Auditor who has been re-appointed in the previous AGM held on 30 Sep 2011.
What are the option available, We dont want to use the option available u/s 224(7) with CG approval and all.
Kindly guide me.

Any valid reason for removal of auditor recent reappointed on approval by the AGM?

The auditor is not doing audit, he is constantly bugging the company for increase in the fees contract and all that stuff.. .its almost as if we are held hostage... The company has also not filed its annual return due on 30th September.
So we are planning to somehow remove this auditor and appoint a new one.

The Board of directors of a company has no powers to remove an auditor appointed by the company in general meeting. Accordingly, the said auditor can be removed only by the company in general meeting after receiving the previous approval of the Central Government. Powers has been delegated to the Regional Director vide Notification No. GSR 288(E), dated 31-5-1991.
You have to approach the Regional Director.
and You have no other option.
