There is no special provisions to form subsidiary company by parent company.

Simply by subscribing 100% share capital of company by parent company, that company would become subsidiary company.

A parent company is called holding company when it is holding 51% or more of the subsidiary company.

There is no separate provision in the Companies Act for this purpose. It is the Board Resolution that will enable the Company to set up a subsidiary company.
