A company(Chennai)purchased the property after that it's M.D execute the Power of Attorney to One. Later, Company decides to cancel the said GPA and execute a sale deed in favour of other One. But, M.D. of the company is in out of station, so they decide to appoint one as a representative of Company in above said deeds through Board of Resolution. Please advice for this.....

How can the company arrive at a resolution in its meeting without the MD presiding such a meeting to decide about the important issue. Who will authorize whom on such occasions. How long is the MD in outstation? Such important issues can wait for his arrival hence cancellation of POA before executing a sale deed by the company itself directly will be legal.
