Is the stamp duty applicable if the property on the name of company is getting transfer to the name of partner

Company has share holders not partner.
However, for any transfer of property stamp duty has to be paid.

company has shareholders and partnership firm has partners.
pl. come out with a clear query.
do you mean to say that a co. is transfering its property to a firm,which is possible only on conversion of a ltd.co into a partnership?
or on sale of some properties of the co. as decided by directors./shareholders of the co?
