When a director of a private firm passes away..

When a one of the 3 directors die.. will his share and role as a director be transfered to his wife? If from the remaining two directors one accept her to be the director and the other doesn't accept..can she still be given as a director?

What does the company memorandum says? There might be a provision mentioned about the deceased director while doing the formation.. otherwise follow companies act provisions.

Normally the deed of Partnership provides such a contingency. If there is separate agreement and the deceased Director leaves a will bequeathing his directorship and assets to his wife she would be member director in her late husband's place and subject to same rights and liabilities as the other partners or her late husband was.
