can a company having proportional representation under its articles have voting in the 2nd AGM after the appointment of directors if the company receives a candidature for directorship before that AGM?

Sir, could you please elaborate on your reply.

if the company appoints directors by proportional representation for a period of 3 years in an AGM and receives candidature for appointment of a person as director at the next AGM, the company is not liable to accept the candidature and have a voting on that in the AGM?
