Handing over a building after construction in the form of Company

(Querist) 21 April 2011 This query is : Resolved 
I have purchased a office in vashi. Deed of appartment done by bulider in May 09. In our building there are 18 offices , he has purchased plot in company name , Now builder wants us to take over that company
and has given following letter


Dear Ware house unit holder

As you are aware that we have developed the Plot bearing No 70 situated at sector 19 C Vashi, Navi Mumbai and have obtained occupancy certificate in respect of the said plot . We have already executed agreement/allotment letters with you and various unit holders. For better management and as pre MOFA Act, we have formed the pvt ltd company ion respect of the said plot . You are very well aware that the person who are directrs of the above pvt ltd company have already sold their units and now they do not have any interest in the company but still on our request they are managing the company and are also fulfilling the necessary statutory requirements

Now the directors who are managing the above pvt ltd co have informed us that from 1st april 2011, they will resign from the company and units holder will be responsible

Now as unit holder what we should do, as he has not full filled any ammenities ?

All of you unit holders form a society and get the conveyence deed registered by that pvt ltd co.if they dont cooparate aply to ROC.dont takeover the pvt ltd it will come you along with all liabilitis.

As the unit holders you are the owners of the companies. The funds will be available in the company. You can take over the company management. And do all the works your self.

Conduct the AGM and select new directors.
