Holding agm in housing society

my query is AGM has to be held before 14.08.2012. as per bye-laws & MCS Act 1960.
but if for some reason if secretary of the society is not available can chairman of society call for the AGM if managing committee members are agreeable.

society affairs cannot come to a stand still for the reason that Secretary is not available . chairman can call for meeting . as it is the meeting is presided over by the chairman .
