Issue of Non Convertable Debenture in private

I just wanted to know the rules of issuing secured non convertable debenture by an unlisted public limited company in private placement.What are the terms & condition imposed by ROC.Is it related with the Authorised & Paid up Capital of the Company.

Debentures can be issue through private placement. The company has to appointed Debentures Trustee and a debenture trust deed has to be executed. The name of the Debenture trustee has to be mentioned in the debenture issue. I can the company fails to fulfill its obligations the debenture trustee call take action to secure the interest on the debenture holders. The company has to file relevant resolutions and trusteed deed with ROC. For more details kindly mail me on piyushsharma@lawyer.com

But there are restrictions for number of people and SEBI comes in picture, pl go through the order on SAHARA by SEBI .
