Legal validity of POA by lLand owners to Developers in West Bengal

We want to buy a land of 4000sft from the land owners to develop a building from a town in West Bengal.We want to sale the flats after construction.
Land owner of 3600sft wants to sale by registration of their share to us, but the other owners of only 400sft wants to give POA to us for construction & sale.
Is the process is valid? Can we face an hazards/difficulties from the owners giving POA to us in future.
