Dear Sir,

There are two partners carrying business in the name of M/s ABC.

Note : First Partner is active partner but Profit Sharing 50%-50% on paper only.

First partner wanted to leave the partnership but second partner wanted to continue the business in the name of M/s ABC.

Please guide - What document should prepared by Second Partner which says that all the liabilities from date of commencement of business to till date should bear by the First Partner but not by the Second partner.

The Second partner should be safe from the liabilities from date of commencement of business to till date.

deed of dissolution needs to be prepared to take care of all these things.

Such dissolution is subject to the terms and conditions of the existing partnership. It is not that some partner wishes something which is beyond the purview of terms and conditions of the partnership.

See the terms and conditions of partnership as mentioned in the Memorendum of association and Articles of Association of the company.
