Dear All
my queries is if i am changing my directors in AGM/ EGM of the company , and i am maintaning the minium no of Directors but Directors due to their malafide intentions are not ready to give their digital signatures and shareholders have changed both directors in the General Meeting further two new directors are appointed in their place. We have to file form 32 for appointment of new directors and resignation of old one , now we dont have signature of any of the old directors (as they are not ready to give the signatures) , i request the goodself to assist me in order to file form 32 of removal as well as appointment of directors.

Dear Madam,,,,
You could file form 32 along with resignment letter of the two directors and resolutions so passed in the AGM / EGM in effect vacating the office of two directors and appointment of two new directors by using the DSC of the existing directors those DSC registerd with MCA portal...

thanks for your reply, however my queries is , if directors are not providing their signature than how we can proceed

Dear Madam...
As per ur statement only two directors have been expelled from their office and the same have been accordingly replaced. and u told there exist minimun of directors as per Company act concerned. I could suggest u to get DSC of these existing director(s)for filing form 32, also check whether their DSC is roll checked accordingly.

Sir,
Mr. A and B is removed and Mr. C and Mr. D is appointed nw dsc of new director cannnot be registered once form 32 is filed with roc nw the issues is hw we can file form 32 as existing directors are nt providing their dsc
