Stamp Duty payment for Agreement

What would be the consequence to the parties if the parties to an agreement have their registered offices in seperate states and the stamp duty paid is in a third state? Would this make the agreement between the parties void?

Payment of SD in a third state is not possible, what is the agreement?

The agreement is for Project management for a new site set up! The company availaing the services has its registered office in the state of Maharashtra, the company providing the services has its registered office in the state of Delhi. The agreement is on stam paper purchased in the state of Karnataka and the project site is situated in Maharashtra.

I am of the View that the Agreement is not void , at the most it will be trearted as executed with out any stamp duty as applicabel in the concnered state
The concerned state stamp duty can be paid with penalities if any .

Though the parties have their registered in two separate states, the execution of an agreement outside the said states may not make the agreement null & Void. What has to be ensured is that the stamp duty is paid according to the state duty where the agreement is executed.
