Voting rights of director having shares in an agm

(Querist) 06 August 2013 This query is : Resolved 
Like an ordinary shareholder , a Director of a public company holding shares i.e Director-shareholder has the right to vote on the resolutions in Annual Meeting .But such director-shareholders normally do not participate in 'voting by show of hands' .Could there be a reason for this ? And are there any significant implications if any such director votes against any company resolution in 'voting by show of hands ' in the AGM ? Regards .

It is supposed that all the resolutions in the AGM has been discussed in detail in the meeting of Board of Directors and they have expressed their views there. After the resolution is approved for putting in the AGM, it is supposed to be agreed by the directors and hence they does not differ it at AGM.

A agree with the expert. Since the agenda of AGM comes out from the Directors there is no difference in opinion which can be reflected in AGM
