Company seal

Hi Guys,

I have to create the company seal for appointment of first auditor but I am a bit confused. Do I have to create a company Seal (One that gets embossed on paper) Or can I just create a Simple RUbber stamp?

Also what information needs to be on company seal?

1. This is matter of your choice. You can have both the kind made.

Thanks guys. I was confused because almost everywhere online they relate embossing seals as company seals and since I want it urgently, I can't rely on an online retailer to ship in time and I am from small town and no one here is providing the same.

Can anyone please answer my second query, as to what information needs to be there on company seal?

Dear Nishant,
Till recently there was mandatory requirement of putting company seal (embossed) on Share Certificates and certain other documents such as applying for Bank Loans etc, but now with the amendment in CA 2013 that requirement has been done away. As such now there is no such requirements of applying embossed company seal on any documents.

1. Company Seal (Metal embossing) can be used ONLY on company instruments (Share Certificate, Debenture, Fixed Deposit Receipts, Agreements and so on ....)

2. Appointment Letter (and other correspondences to whomsoever is NOT a company instrument. Hence a Company rubber stamp consisting of Co. name & CIN is more than lawfully sufficient.

for your second query, your seal may contain the company's name and address including the registration number if any.
