Can there be a Royalty Agreement pertaining to manufacturing arrangement of Liquor. I understand that Royalty Agreement generally refers to Intellectual Property matters. My query pertains to liquor manufacturing arrangements between two units, one assigning its brands to other and intends to receive a sum in the form of royalty. there is separate agreement for assignment of brands.

When the principal is permitting the agent to use their name/branc, the principal is entitled for royalty.

Brand is an other name of 'good will'[also called now days brand equity]which a business concern after considerable expenditure on massive advertisements earns it,so it has a VALUE OF IMAGE WHICH ADDICTS CUSTOMERS TO ASSOCIATE WITH IT,HENCE ALLOWING THE SAME TO BE USED BY SOME OTHER CONCERN DOES ATTRACT SOME CONSIDERATION THEREFOR, WHICH EVER NAME YOU GIVE TO SUCH CONSIDERATION.HOWEVER ONE GOOD ILLUSTRATION FROM AXIS BANK CAN BE USED HERE WHICH WAS UNDER OBLIGATION TO PAY ROYALTY W.E.F.01/02/2008,TO AVOID THE SAME IT DROPPED ITS OLD NAME UTI Bank AND TURNED TO ADOPT IT OWN NEW NAME AS AXIS BANK.

Patents, Brands, Trade Secrets, Trademarks, trade secrets, etc.. all fall within the scope of Intellectual Property Rights. All such matters have their own goodwill. So, you will be quite correct to enter in to royalty agreement on account of sharing your trade secrets and usage of brand name.

Entitlement of royalty must have been there when the agreement was entered into. So, what exactly is your query.
