I think you mean Private Limited company.

Engage an advocate who deals with ROC, he will help you in forming a company and getting the required licenses for your running your new company.

If you are speaking about a proprietorship/partnership firm, all firms are private only. It is not compulsory to register the firm as such. The main difference between a registered firm and unregistered is - the unregistered firm can sue the third parties in its name whereas a registered firm can. If you opt for registration, the firm is to be registered with the registrar of firms in the particular state. Apart from registration of firm, the usual registration like sale tax registration, Service TAx Registration (if applicable) obtaining PAN Number, TAN number, obtaining the licences from local municipal authorities for starting-up the business are the formalities to be completed for starting a business in the name of a firm. Above all, if it is a partnership firm, partnership deed is to be executed specifying the terms and conditions of the partnership.
