Hello to all experts.
My query is regarding stamp duty and registration charges on Amalgamatioin/ merger of companies. My query is as follows :
1) What is the registration charge of amalgamation order in gujarat.
2)what is the registration charge on transfer of immoveable property of transferor company to transferee company in Gujarat in case of amalgamation order of Hon'ble High Court.
3) What is the stamp duty and registration charge on transfer of shares of transferor company to the transferee company in amalgamation order of highcourt in Gujarat.
4) what is the the stamp duty and registration charge on transfer of asset and liabilities of transferor company to the transferee company in cases of amalgamation order

Dear Mr. Manoj,
The State of Gujarat has included the order approving a scheme of amalgamation passed under section 394 of the Companies Act, 1956 in the definition of “conveyance”.
Therefore, the stamp duty as applicable to "Conveyance" in Gujarat is liable to be paid.
Since the amalgamation takes the form of "Conveyance", the question of separate stamp duty for each of the items would not arise que the transferor or transferee.
However, after the amalgamation, whatever the shares are allotted by the Transferee Company the same will bear the stamp duty as per the stamp duty applicable to normal shares if issued by a company.
