Dear Sir,
Kindly let me know the legal requirement of Distribution Agreement entered in Karnataka between Supplier and Distributor to make it legally valid.
If the Agreement is done on Letter Head of the Company, is it necessary to frank stamp duty on it? If yes, what amount?
Is it necessary to register this agreement? If yes, with whom?

Agreement need not be registered. If at all you want to register, requisite fees could be paid and registered at Registration Department.

The general principle that a mere agreement need not be registered, but there may be some stamp duty involved. Please verify the local Stamp Act,

You can consult a local lawyer specialized on contract matters for right guidance. Normally companies appointing dealers will have their own formats and procedures on which you will have little say.

1. Since the dealing involves Money /Property, a proper Agreement (which is a legally enforceable document) (NOT on Letter Head) must be duly Registered with the local area Registrar of Sub-Assurances, wherein the stamp duty for such basis agreement would be around 1000/-
2. IF there is no agreement, THEN at times of dispute, the Courts would not adjudicate on any issues, for both the parties.
