a company has to be converted into private limited so please suggest the whole procedure and resolution to be passed.

A public ltd.company can be converted into a private ltd.company only after the approval of central Govt.[Sec.31(1) of the Companies Act.1956].Filing of printed copy of the articles as altered within one month of the receipt of the approval of the Central Govt.with the Registrar of Companies.Passing of a special resolution authorising the convertion and altering the Articles so as to include the matters specified in sec 3(1)(iii).Changing the name of the company by special resolution as required by Sec 21.
